Terms, Disclosures, and Risk Statement

The Clinic publishes educational content about markets. It is not investment advice. The publisher is not a licensed financial advisor. Investing carries risk, including total loss of principal. Please read the full terms below before subscribing.
1. No Investment Advice
All content published by The Clinic and its author, referred to here as "the Publisher," including articles, posts, newsletters, Discord messages, videos, slide decks, trade ideas, call transcripts, and any other material, is provided for general informational and educational purposes only. Nothing published by the Publisher constitutes investment advice, financial advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any security, commodity, cryptocurrency, or other financial instrument.
2. Not a Registered Adviser
The Publisher is not a registered investment adviser, broker-dealer, commodity trading adviser, financial planner, or licensed financial professional of any kind. The Publisher is not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, any state securities regulator, or any other regulatory body. The Publisher operates under the publisher's exemption set forth in Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and any applicable state-level equivalents. No fiduciary relationship is created or implied between the Publisher and any reader, member, subscriber, or participant.
3. Do Your Own Research
Every reader, member, subscriber, and participant is solely responsible for their own investment decisions. Before acting on any information found on this site, in any newsletter, in any Discord channel, during any call, or in any other content produced by the Publisher, you should consult with a licensed financial advisor, registered investment adviser, or qualified tax professional who can evaluate your personal financial situation, goals, risk tolerance, and tax circumstances.
4. Risk of Loss
All investing involves substantial risk, including the potential loss of principal. The value of investments can and will fluctuate, and you may lose some or all of the money you invest. Options, margin, leverage, derivatives, short selling, cryptocurrency, and speculative securities can result in losses exceeding your initial investment. Past performance is not indicative of future results. No level of prior success guarantees future success. You should only invest capital you can afford to lose entirely.

The Publisher's personal holdings should not be construed as a recommendation. Positions may be disclosed at the Publisher's discretion but disclosure is not guaranteed.
7. Third-Party Information
Content may reference or link to third-party sources, including news articles, company filings, analyst reports, and external websites. The Publisher does not guarantee the accuracy, completeness, timeliness, or reliability of any third-party information and is not responsible for the content of any external site. The inclusion of any third-party reference does not constitute endorsement.
8. No Solicitation
Nothing on this site, in any newsletter, in any Discord channel, on any call, or in any other Publisher-produced content constitutes an offer, solicitation, or recommendation to buy or sell any security in any jurisdiction where such offer, solicitation, or recommendation would be unlawful.
9. Community Conduct
Members of The Clinic Discord server and any other Publisher-hosted community space agree to the following:
- Not to share paid content, screenshots of paid content, or Discord invites with anyone outside the community
- Not to impersonate the Publisher or any other member
- Not to solicit or offer personalized investment advice to other members
- Not to promote securities in which they hold positions without clear disclosure
- Not to engage in harassment, discrimination, or abusive conduct toward other members
- To respect the educational, non-advisory nature of the community
Violation of these conduct standards may result in removal from the community, termination of membership, and forfeiture of any unused subscription period, at the Publisher's sole discretion and without refund.
10. Refunds and Cancellation
Memberships are billed monthly or annually through Stripe. You may cancel your subscription at any time through your Account page, which will stop future billing at the end of your current billing period. You will retain access to your tier's content and benefits through the end of the period you have paid for.
The Publisher generally does not issue refunds for prior billing periods, unused portions of the current billing period, unused benefits, or memberships terminated for violation of these terms. Refund requests outside of these conditions may be considered at the Publisher's sole discretion.
11. Charitable Donations
The Publisher's stated intention to donate net membership proceeds (after platform fees and operational costs) to community causes is a personal commitment, not a legally binding contractual obligation. Membership fees are not tax-deductible charitable contributions. Members receive a service (access to educational content, community, and any included benefits) in exchange for payment. Donation reports published by the Publisher are provided for transparency and community accountability; they are not audited financial statements and should not be relied upon for tax, legal, or investment purposes.
12. Limitation of Liability
To the maximum extent permitted by law, the Publisher shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to trading losses, lost profits, loss of data, loss of opportunity, or loss of goodwill, arising out of or in connection with your use of, or reliance on, any content produced by the Publisher, whether such damages are claimed under theories of contract, tort, negligence, strict liability, or otherwise, even if the Publisher has been advised of the possibility of such damages. You use all content at your own risk.
13. Dispute Resolution and Governing Law
These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these terms or your use of The Clinic shall be resolved through binding individual arbitration administered by JAMS (or another mutually agreed arbitration body), in accordance with JAMS's Streamlined Arbitration Rules. You agree that any such arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. Both parties waive any right to a trial by jury. The arbitrator's decision shall be final and binding.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the unauthorized use or disclosure of intellectual property or confidential information.
14. Changes to These Terms
The Publisher may update these terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to active members via email or through the members' Discord. Continued use of the site, membership, or community after changes take effect constitutes acceptance of the revised terms.
15. Direct Messages & Voice Call Disclosure
Discord members may have the ability to direclty communicate with the Publisher either through voice or text. The following disclosures apply specifically to these direct interactions and override any inconsistent representation elsewhere:
This communication is for general educational discussion only. The Publisher will not provide personalized investment advice, portfolio recommendations, suitability assessments, asset allocation guidance, or any recommendation specific to the member's individual financial situation, goals, circumstances, holdings, or account.
No fiduciary relationship is created. Participation in communication whether direct or indirect does not create an investment adviser-client relationship, a fiduciary duty, or any other professional or legal obligation on the part of the Publisher beyond the delivery of the scheduled educational discussion.
No information is collected about the member's financial situation. The Publisher will not ask for, record, or rely upon information about the member's account balances, specific holdings, income, net worth, or personal financial circumstances, and will not base any statement made during the call on such information.
Communication content does not constitute advice. Topics discussed during the call are general market commentary, general educational material about publicly available information, or discussion of research and themes covered elsewhere in The Clinic's published content. Nothing said during communication with The Publisher is a recommendation to buy, sell, hold, or refrain from buying, selling, or holding any security or other asset.
Any communication with The Publisher, whether directly or indirectly, is not a substitute for professional advice. Members are advised to consult a licensed financial advisor, registered investment adviser, or qualified tax professional for guidance specific to their situation before making any investment decision.
By scheduling and participating in communication channels including audio, video, and text, the member acknowledges and agrees to these terms.
16. ICU Stay Tier — AI Research Agent Disclosure
The ICU Stay tier includes access to an AI-powered research agent made available through a private Discord channel. The following disclosures apply specifically to the agent and override any inconsistent representation elsewhere:
The agent is a research tool, not an advisor. The agent is designed to help members analyze publicly available information — including ticker data, SEC filings, earnings transcripts, and news — and to summarize or synthesize that information on request. The agent will not provide personalized investment advice, portfolio recommendations, suitability assessments, asset allocation guidance, or any recommendation specific to a member's individual financial situation, goals, circumstances, holdings, or account.
No fiduciary relationship is created. Use of the agent does not create an investment adviser-client relationship, a fiduciary duty, or any other professional or legal obligation on the part of the Publisher.
Agent outputs do not constitute advice. Nothing generated by the agent is a recommendation to buy, sell, hold, or refrain from buying, selling, or holding any security or other asset. Agent outputs are generated by machine-learning systems and may contain errors, omissions, outdated information, or hallucinated content. Members are responsible for independently verifying any information produced by the agent before making any investment decision.
Third-party AI infrastructure. The agent is powered by third-party AI infrastructure. Prompts submitted to the agent, including any content members choose to share, may be transmitted to and processed by third-party AI providers outside the direct control of the Publisher. Members are strongly advised not to share personal financial information, account details, specific holdings, income, net worth, or other sensitive personal data with the agent. The Publisher makes no warranty regarding the privacy, retention, or security practices of third-party AI providers.
Availability is not guaranteed. The agent is self-hosted by the Publisher and may experience downtime, latency, or degraded performance due to infrastructure issues, third-party provider outages, or maintenance. The Publisher will use reasonable efforts to maintain availability but does not guarantee continuous or error-free operation. No refund or credit is owed for temporary unavailability of the agent.

Members are advised to consult a licensed financial advisor, registered investment adviser, or qualified tax professional for guidance specific to their situation before making any investment decision. Use of the agent is not a substitute for such consultation.
By using the AI research agent, the member acknowledges and agrees to these terms.
17. Intellectual Property
All content produced by The Clinic, including written research, newsletters, Discord messages, call recordings, images, branding, and other materials, is the intellectual property of the Publisher. Members are granted a limited, non-exclusive, non-transferable license to access this content for their personal, non-commercial use during the active term of their membership. Redistribution, republication, resale, or public sharing of any content is prohibited without express written permission.
18. Privacy
The Publisher's handling of personal information is described in the separate Privacy Policy, which is incorporated by reference into these terms.
19. Severability
If any provision of these terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and the Publisher concerning your use of The Clinic and membership in its community, and supersede any prior agreements, communications, or understandings, whether written or oral.
